These Terms of Service ("Terms") govern access to and use of the Bystro platform, websites, software, APIs, and related services (collectively, the "Service") provided by [revxon LLC] ("revxon", "Bystro AI", "Bystro," "we," "us," or "our").
By creating an account, clicking "I agree," or accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, in which case "you" and "your" refer to that organization and its Authorized Users.
If you do not agree to these Terms, you may not use the Service.
1.1. Description.
Bystro is an AI-powered research platform for exploring and analyzing genetic, genomic, proteomic, imaging, clinical, and other biological or biomedical datasets, including multi-omics, and for generating research-oriented summaries, annotations, and insights.
1.2. Research and Educational Use Only.
The Service is intended solely for scientific, research, and educational purposes and not for:
Any outputs produced by the Service (including, without limitation, variant annotations, risk estimates, scores, cohort comparisons, AI-generated summaries, or recommendations) are informational and exploratory only and may be incomplete, incorrect, or misleading. They must not be used as a substitute for professional medical advice, diagnosis, or treatment.
1.3. No Medical Advice.
Bystro does not provide medical, diagnostic, or treatment services, and Bystro is not a healthcare provider, clinical laboratory, and does not practice medicine. You understand and agree that:
1.4. User Submissions.
By using the Bystro service, you may upload health, genetic, genomic, or related information ("User Data"). You acknowledge and agree that such User Data may be individually identifiable and may include sensitive personal and healthcare information.
1.5. Consent to Use.
You grant Bystro a non‑exclusive, worldwide, royalty‑free license to use, process, store, and analyze your User Data solely for the purposes provided in these Terms. Bystro may also use aggregated or de‑identified data internally for research, product improvement, and statistical purposes.
2.1. Age Requirement.
Use of the Service is strictly limited to individuals 18 years of age or older. By using the Service, you represent and warrant that you are at least 18 years old. Bystro does not accept parental or guardian consent in lieu of this requirement.
2.2. No Data About Minors.
You may not upload, submit, or otherwise process any data in the Service that relates to individuals under 18 years of age, including genetic, clinical, or research data, whether or not de-identified, unless expressly permitted in a separate written agreement.
2.3. Territorial Restrictions; No EU / GDPR Use.
(a) The cloud-hosted Service is currently offered only to users physically located in the contiguous United States of America. By using the Service, you represent and warrant that you are physically located in and accessing the Service from one of the continental United States and not from Alaska, Hawaii, U.S. territories, or any foreign jurisdiction.
(b) The Service is not intended for and may not be used by residents of, or individuals located in, the European Economic Area (EEA), the United Kingdom, Switzerland, or other jurisdictions with comprehensive data protection laws (such as GDPR-like regimes) unless and until Bystro explicitly notifies you otherwise in writing. By using the Service, you represent that:
2.4. Compliance With Laws.
You are responsible for ensuring that your use of the Service, including your collection and processing of data, complies with all applicable laws, rules, and regulations in the jurisdictions where you are located.
2.5. Export Controls; Sanctions.
You represent and warrant that you are not (a) located in any country or territory subject to comprehensive U.S. sanctions, or (b) a person or entity blocked or designated under U.S. sanctions programs. You agree not to use the Service in violation of U.S. export control or sanctions laws.
3.1. Registration.
To use certain features of the Service, you must create an account and provide accurate, current, and complete information, including your name, email address, and, where applicable, your organizational affiliation and role.
3.2. Organizational Accounts.
These Terms are intended for individual Users. If you represent or work on behalf of an institution, company, or research organization, you should contact us and we will work with you to determine whether an enterprise agreement is appropriate.
3.3. Credential Security.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify us at team@bystro.io of any actual or suspected unauthorized use of your account or any security incident.
3.4. Account Types and Intended Use.
We may categorize accounts (for example, researcher, clinician, student, individual genetic data user, etc.) and may request information about your intended use case and background as part of the application process. You agree to provide accurate information about your intended use and to use the Service consistent with your stated role and these Terms.
3.5. Individual Use; No Sharing.
Your account is for your personal use only. You may not share your login credentials or allow any other person to access the Service through your account. You agree to provide accurate account information and keep it current.
4.1. Data Types.
The Service may process a variety of research-related data, including:
4.2. HIPAA Disclaimer; Data Security.
(a) HIPAA Disclaimer. You understand and agree that Bystro is not a "covered entity" or "business associate" under the Health Insurance Portability and Accountability Act of 1996, as amended (HIPAA). Accordingly, HIPAA does not apply to your relationship with Bystro. Instead, your rights and Bystro's obligations are governed exclusively by these Terms of Service and the Privacy Policy.
(b) Data Security. Bystro implements reasonable technical and organizational safeguards to protect User Data against unauthorized access, disclosure, or misuse. However, no system is completely secure, and you acknowledge that you provide User Data at your own risk.
4.3. Your Uploads; Authority and Consents.
You represent and warrant that: (a) you will not upload any data relating to minors; (b) any data you upload, submit, transmit, or otherwise provide to the Service is data that you have the legal right to provide and is accurate and complete; (c) if you provide data relating to another person, you have obtained all legally valid consents and authorizations required to provide that data and to permit Bystro to process it as described in these Terms and the Privacy Policy; and (d) you will provide such consents/authorizations to Bystro upon request if reasonably necessary to address a legal complaint or inquiry.
4.4. Sensitive Data Acknowledgement.
You understand that genetic, genomic, and other health-related data may be sensitive. You are solely responsible for determining whether to upload such data and for complying with any laws applicable to your collection, use, and disclosure of such data.
5.1. Privacy Policy.
Our collection, use, and disclosure of personal information about you (such as account and usage information) is described in our Privacy Policy, which is incorporated by reference into these Terms. You can review the current Privacy Policy here.
5.2. Observability and Telemetry.
To secure, maintain, and improve the Service, we may collect certain metadata and observability information about your use of the Service, including technical logs, performance metrics, feature usage statistics, conversational traces, and security events. We focus on system-level telemetry rather than the scientific content of your datasets and do not use your research datasets for advertising or unrelated marketing.
5.3. Prompt/Output Logging (Optional).
If we offer an opt-in feature that allows you to share prompts and AI outputs to help improve our models, we will treat that information in accordance with the Privacy Policy and any applicable opt-in settings. You should never include individually identifiable data in prompts or outputs, even if optional logging is enabled.
6.1. Your License.
Subject to these Terms and any applicable order form or subscription agreement, Bystro grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal research, scientific, or educational purposes.
6.2. Restrictions.
Except as expressly permitted in these Terms, you must not:

You retain all right, title, and interest in and to the User Data, subject to Bystro's rights as described in this Section.
7.2. License to Bystro.
You grant Bystro a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, display, and otherwise use User Data solely as necessary to:
We do not use User Data to train AI models or for unrelated third-party use unless you have explicitly opted in to such use in a separate written agreement.
7.3. Derived Data and Metrics.
Bystro may generate anonymized, aggregated, or de-identified statistics, analytics, and metrics from User Data and usage (for example, feature usage statistics, performance metrics, or model accuracy summaries). Bystro may use such aggregated or de-identified data for improving the Service and for analytics, provided that it does not identify you or any individual.
7.4. Data Retention.
For the SaaS platform, uploaded datasets are typically processed transiently and not retained unless you explicitly request storage (for example, by saving a project or dataset in your workspace). Processed datasets are stored in an encrypted format associated with your account.
7.5. Prohibited Content in User Data.
You agree not to upload: (a) content that violates another person's privacy rights; (b) content that is unlawful, defamatory, or infringing; or (c) malicious code.
8.1. Use of AI Models.
The Service may use third-party and proprietary machine learning models and large language models to generate outputs, including explanations, summaries, predictions, and recommendations.
8.2. Outputs May Be Inaccurate.
You acknowledge that:
8.3. Your Validation Obligations.
You are solely responsible for validating and verifying any conclusions, decisions, or analyses you derive from the Service before relying on them for any scientific, clinical, or other consequential use. You agree that you will not present outputs from the Service as definitive clinical interpretations and that you will clearly communicate to downstream users that such outputs are research-only and may contain errors.
9.1. Fees.
If you subscribe to a paid tier or plan, you agree to pay all fees specified in the applicable order form, price list, or subscription page. Unless otherwise stated, fees are non-refundable.
9.2. Billing and Payment.
You authorize Bystro (and our payment processors) to charge your payment method for the applicable fees. If any payment is not received when due, we may suspend or terminate your access to the Service.
9.3. Trials and Beta Features.
We may offer time-limited trials or beta features. Such access is provided "as is," may be modified or discontinued at any time, and may be subject to additional terms.
9.4. Usage Limits and Overages.
Certain plans, tiers, order forms, or subscription levels may specify limits on the quantity of data you may upload, process, store, retain, or analyze using the Service, as well as limits on compute usage, concurrency, number of projects, API calls, or other resource consumption (collectively, "Usage Limits"). You agree to use the Service within the Usage Limits applicable to your plan.
Bystro may monitor your usage of the Service to assess compliance with Usage Limits. If you exceed any Usage Limits, Bystro may, in its discretion and in addition to any other available remedy:
(a) require you to upgrade to a higher-capacity plan or pay additional fees; or
(b) temporarily throttle, restrict, or suspend your access to features or data processing capabilities
You agree not to attempt to circumvent any Usage Limits, including by creating multiple accounts, splitting or obfuscating data uploads, using automation to bypass rate limits, or misrepresenting your intended use.
We reserve the right to investigate and take appropriate action, including suspending or terminating your account, if we reasonably believe you are violating this Section.
10.1. Bystro IP.
Bystro and its licensors own all right, title, and interest in and to the Service and all related intellectual property, including software, documentation, logos, and trademarks, except for User Data and third-party content expressly identified as such.
10.2. Feedback.
If you provide suggestions, comments, or other feedback regarding the Service ("Feedback"), you grant Bystro a worldwide, perpetual, irrevocable, royalty-free license to use, copy, modify, and incorporate such Feedback into our products and services without any obligation to you.
The Service may integrate or interoperate with third-party services, tools, or datasets. Your use of such third-party services may be subject to their terms and privacy policies. The Service may also include open-source components governed by their own licenses; those licenses will govern your use of such components in the event of any conflict with these Terms.
12.1. Changes to the Service.
We may update, modify, or discontinue the Service (or any part of it) at any time, including to add or remove features, adjust usage limits, or make UI/UX changes.
12.2. Availability.
We will make reasonable efforts to ensure that the Service is available, but we do not guarantee uninterrupted or error-free operation. Planned or emergency maintenance may result in temporary downtime.
12.3. Support.
Support levels, response times, and communication channels may be described in separate support policies, subscription materials, or enterprise agreements.
13.1. Term.
These Terms apply from the time you first access the Service and continue until terminated as described below.
13.2. Termination on Notice.
You may stop using the Service at any time and may request closure of your account by contacting us at team@bystro.io. Bystro may terminate your use of the Service at any time upon notice to you.
13.3. Effect of Termination.
Upon termination, your license to use the Service ends, and we may delete or disable access to User Data stored in the Service, subject to our retention obligations and the Privacy Policy. Sections that by their nature should survive (including, without limitation, the license, confidentiality, intellectual property, limitations on use, limitation of liability, and indemnification provisions will survive termination.
14.1. "As Is" Service.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment.
14.2. No Guarantee of Results.
Bystro does not warrant that any analysis, AI output, or other results generated by the Service are accurate, complete, reliable, or suitable for any particular purpose, nor that the Service will meet your requirements or be available at all times.
14.3. Clinical Use Disclaimer.
Without limiting the foregoing, Bystro expressly disclaims any responsibility or liability for any clinical, medical, or health-related decisions made based on or influenced by the Service. You are solely responsible for obtaining appropriate professional advice and for complying with all applicable regulatory and ethical obligations.
To the maximum extent permitted by law:
15.1. Exclusion of Certain Damages.
Bystro and its affiliates, officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with the Service or these Terms, whether based on contract, tort, strict liability, or any other legal theory, even if Bystro has been advised of the possibility of such damages.
15.2. Cap on Direct Damages.
Bystro's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the greater of: (a) the amount you paid to Bystro for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one thousand U.S. dollars (US $1,000).
15.3. Applicability.
Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities, so some of the above limitations may not apply to you. In such cases, Bystro's liability will be limited to the fullest extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Bystro and its affiliates, officers, directors, employees, and agents from and against any and all third party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to:
17.1. Governing Law.
These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of laws rules.
17.2. Informal Resolution Required.
Before starting arbitration or any court proceeding, you agree to first send us a written notice of the dispute ("Notice of Dispute") describing the issue and the relief you seek. You must send the Notice of Dispute to the address in the Notice Section below. We will attempt in good faith to resolve the dispute informally. If the dispute is not resolved within sixty (60) days after we receive your Notice of Dispute, either party may commence arbitration (or, if applicable, a small claims action as provided below).
17.3. Agreement to Arbitrate; Individual Basis.
Except as expressly provided herein, you and Bystro agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis and not in court. This agreement to arbitrate includes, without limitation, claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.
17.4. Arbitration Procedures.
The arbitration will be administered by JAMS under its then-current Streamlined Arbitration Rules and Procedures (or, if not available, the closest equivalent JAMS rules). The arbitrator will have authority to decide all issues of arbitrability and the interpretation and enforceability of this arbitration provision. The arbitration may be conducted by video conference unless the arbitrator determines an in-person hearing is necessary. The arbitrator may award any relief that would be available in an individual action in court, subject to the limitations in these Terms.
17.5. Class Action Waiver.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND BYSTRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless you and Bystro agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.
17.6. Small Claims Court Option.
Either party may bring an individual claim in small claims court in Suffolk County, Massachusetts (or in your county of residence if required by applicable law), so long as the claim remains in that court and proceeds only on an individual basis.
17.7. Venue for Court Proceedings; Jury Trial Waiver.
To the extent any dispute is permitted to proceed in court (including to enforce an arbitration award, seek injunctive relief, or as otherwise permitted by law), you and Bystro agree to exclusive venue in the state or federal courts located in Suffolk County, Massachusetts, and each party consents to personal jurisdiction there. TO THE EXTENT PERMITTED BY LAW, YOU AND BYSTRO WAIVE ANY RIGHT TO A JURY TRIAL.
17.8. Injunctive Relief for Misuse; IP.
Notwithstanding the foregoing, either party may seek temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction to prevent or stop unauthorized access to the Service, misuse of the Service, or infringement or misappropriation of intellectual property rights.
18.1. Changes to These Terms.
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, through the Service or via email). Your continued use of the Service after the updated Terms become effective constitutes your acceptance of them.
18.2. Entire Agreement.
These Terms, together with any order forms, subscription agreements, and our Privacy Policy, constitute the entire agreement between you and Bystro regarding the Service and supersede all prior or contemporaneous agreements, understandings, or communications.
18.3. Severability.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.
18.4. Waiver.
The failure of either party to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.
18.5. Assignment.
You may not assign or transfer these Terms or your rights or obligations under them without Bystro's prior written consent. Bystro may freely assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
18.6. Notices.
All notices under these Terms must be in writing and will be deemed given when delivered by hand, sent by recognized overnight courier, or sent by email to the addresses specified in your account (for you) or to team@bystro.io (for Bystro), or to any other addresses that a party may designate in writing.
